Partner will receive the benefits of a category, as provided below, beginning on the first day of the calendar month following when they first achieve all requirements for that category and through the next subsequent calendar year.

iCIMS Relationship Management

  • “Developer Agreement” shall mean an agreement entered into between the Parties related to an Integration between the Parties (as defined therein), the terms of which are available at www.icims.com/partner/gc.
  • “Market Development Funds” shall mean a matching credit determined by the hereunder specified percentage of iCIMS’ Portion of Net ARR under a Qualified Contract, which Partner may apply toward joint marketing activities with iCIMS as further provided for at iCIMS’ Partner Portal. Commissions can be added to Market Development Funds if Partner requests such funds to be added for any program year prior to December 31st of the previous year. For instance, Partners who would prefer that Commissions be put in Market Development Funds for program year starting January 1, 2018 must send an email to the Partner Relationship Manager or Partner Development Executive or Partnerships@icims.com on or before December 31, 2017.
  • “Net New ARR” shall mean the calendar year-to-date aggregate of new Net ARR, excluding any renewing subscribers, for any Qualified Contract contracted by iCIMS under this Agreement, as well as (i) the list annual recurring revenue value of any newly contracted subscriber under any applicable agreement for the purchase of any new connector(s) not already included in a Qualified Contract, and (ii) the Net ARR of any subscriber contracted by iCIMS due to Partner Advocacy not already included in an otherwise Qualified Contract.
  • “Partner Advocacy” shall mean the assistance that the Referring Party provides to Selling Party on a Qualified Opportunity or in relation to an opportunity with a current subscriber of Selling Party.  Activities performed by Referring Party may be considered Partner Advocacy when all of the following criteria have been met: (i) Selling Party confirms Partner Advocacy in writing; (ii) Partner Advocacy activities are performed on a Qualified Opportunity or for a current subscriber of Referring party; and (iii) at least two of the following actions, or other actions as may otherwise be acceptable by Selling Party, are performed and documented in an email from Referring Party to Selling Party:

    o   Guiding or instructing members of a Qualified Opportunity that did not have a previous relationship with the Selling Party;

    o   Providing insights as to the needs and objectives, selection criteria, decision-making process and/or process roadblocks in relation to the Qualified Opportunity of which the Selling party was not aware;

    o   Discussing the value and differentiators of the Selling party’s solution with members of the Qualified Opportunity;

    o   Outlining the organizational or reporting structure of a Qualified Opportunity or of a current subscriber of the Selling Party;

    o   Providing insight as to an effective sales strategy and feedback as to Selling Party’s position as it relates to the Qualified Opportunity or current subscriber;

    o   Providing assistance on proposal development, pricing, and budget assessment of a Qualified Opportunity or current subscriber of Selling Party;

    o   Participating in demonstrations for Qualified Opportunities or current subscribers of Selling Party; and/or

    o  Participating in business impact studies or ROI analysis for Qualified Opportunities or current subscribers of Selling Party.

  • “Partner Portal” shall mean the partner portal iCIMS hosts to enable its partners to receive pertinent information on their iCIMS partnership, gain access to marketing, training, sales, and support documentation, and submit, receive, and track leads bidirectional with iCIMS, available at https://partners.icims.com.
  • “Portion of Net ARR” shall mean, for each applicable Qualified Opportunity, the Net ARR less the Commission, as determined by Partner’s Tier hereunder as of the date of final execution of the applicable Qualified Contract.
  • “YTD Qualified Opportunities” shall mean calendar year-to-date number of Qualified Opportunities (for clarity, excluding any rejected Qualified Opportunities).
